ZION Policies

Terms & Conditions

By placing an order through the ZION website, you confirm that you are at least eighteen (18) years old, have the legal capacity to enter into a contract, and agree to these Terms and Conditions of Sale (“Terms of Sale”), together with our Privacy Policy, Terms of Use, Warranty Policy, and other applicable policies posted on our website.

These Terms apply to purchases made through the official ZION store.

1. Definition of Terms

For purposes of these Terms of Sale, the following terms shall have the meanings stated below:

1.1. Customer

refers to any person who purchases or attempts to purchase a Product from the ZION Store. The Customer may also be referred to as “you” or “your.”

1.2. ZION, Seller, we, us, or our

refers to ZION Philippines, the company operating the Store, Physical Store, and selling the Products listed on the website.

1.3. Store

refers to ZION’s official website or any platform where Products may be viewed, ordered, and purchased.

1.4. Order

refers to a request submitted by the Customer through the Store to purchase one or more Products.

1.5. Product

refers to any item, equipment, unit, accessory, or product sold through the ZION Store.

1.6. Sales Contract

refers to the agreement between the Customer and ZION for the sale of a Product, which is formed only upon ZION’s acceptance and confirmation of the Order.

1.7. Terms of Sale

refers to these Terms and Conditions of Sale.

2. Product Information

2.1. Product Descriptions

ZION makes reasonable efforts to ensure that Product descriptions, specifications, images, prices, inclusions, and availability are accurate and updated. However, minor variations may occur due to product improvements, supplier updates, screen display differences, lighting, photography, or other reasonable factors.

2.2. Product Availability

All Products are subject to availability. ZION reserves the right to limit quantities, discontinue Products, update Product specifications, or remove Products from the Store without prior notice.

2.3. Product Images

Product images are provided for reference and presentation purposes. Actual Product appearance, color, finish, size, features, or accessories may vary slightly depending on the specific model, batch, or available version.

3. Prices and Promotions

3.1. Product Prices

Product prices shall be those posted on the Store at the time of Order placement, subject to confirmation and acceptance by ZION.

3.2. Price Updates

ZION reserves the right to update prices, promotions, discounts, bundles, and offers at any time. Price changes shall not affect Orders that have already been accepted and confirmed, except in cases of clear pricing error, system error, typographical error, or circumstances allowed by law.

3.3. Pricing Errors

If a Product is listed at an incorrect price due to typographical error, system issue, technical issue, or incorrect information, ZION reserves the right to reject or cancel the Order. If payment has already been made, ZION shall notify the Customer and process the appropriate refund through the original payment method or another agreed method.

3.4. Taxes and Charges

Unless otherwise stated, prices may be subject to applicable taxes, delivery charges, installation charges, service charges, or other fees.

4. Order Placement and Acceptance

4.1. Order Placement

Customers may place an Order by completing and submitting the required order form, checkout form, or other official ordering process provided on the ZION Store.

4.2. Customer Responsibility

By submitting an Order, you confirm that all information provided is true, complete, and accurate, including your name, contact number, delivery address, billing details, and selected Product.

4.3. Order Review

ZION may verify your Order, payment details, delivery location, Product availability, and other relevant information before accepting the Order.

4.4. Acceptance of Order

An Order shall be considered accepted only once ZION confirms the Order through an official confirmation message, invoice, receipt, or other written notice.

4.5. Right to Refuse or Cancel Orders

ZION reserves the right to refuse, cancel, or limit any Order for valid reasons, including but not limited to:

  1. Product unavailability;
  2. pricing or system error;
  3. incomplete or inaccurate Customer information;
  4. suspected fraudulent, unauthorized, or suspicious transaction;
  5. delivery location outside ZION’s serviceable areas;
  6. payment failure or non-payment; or
  7. other reasonable business, legal, or operational grounds.

5. Payment

5.1. Accepted Payment Methods

Customers may pay using payment methods accepted by ZION, which may include bank transfer, credit card, debit card, e-wallet, financing options, cash payment, or other payment channels made available by ZION.

5.2. Payment Confirmation

Orders may be processed only after payment has been confirmed, unless ZION expressly allows another payment arrangement.

5.3. Third-Party Payment Providers

If payment is made through a third-party payment provider, bank, credit card issuer, financing partner, or e-wallet provider, the Customer agrees to comply with the terms and conditions of that provider. ZION shall not be liable for delays, errors, declined transactions, system issues, charges, or failures caused by third-party payment providers.

5.4. Non-Payment or Failed Payment

If payment is declined, reversed, canceled, incomplete, or not received, ZION may cancel the Order, suspend delivery, withhold release of the Product, or require another valid payment method.

5.5. Invoice or Receipt

ZION shall issue the appropriate invoice, official receipt, sales invoice, electronic receipt, or other valid proof of transaction in accordance with applicable laws and company procedures.

6. Delivery

6.1. Delivery Areas

ZION delivers only to selected areas within the Philippines. Delivery availability may depend on location, Product type, delivery access, logistics capacity, and other operational considerations.

6.2. Delivery Address

Products shall be delivered to the address provided by the Customer. The Customer is responsible for ensuring that the delivery address is complete, accurate, accessible, and serviceable.

6.3. Delivery Charges

Delivery, installation, handling, or other related charges shall be stated during the ordering process, quotation, invoice, or confirmation, unless expressly waived by ZION.

6.4. Delivery Schedule

Delivery timelines are estimates and may vary due to Product availability, location, courier schedules, weather conditions, traffic, building access rules, force majeure events, or other factors beyond ZION’s reasonable control.

6.5. Delivery Delays

ZION shall make reasonable efforts to update the Customer in case of material delivery delays. The Customer agrees that delivery timelines are estimates and shall not automatically give rise to cancellation, refund, or damages unless required by applicable law.

6.6. Customer Availability

The Customer, or an authorized representative, must be available to receive the Product on the agreed delivery date. ZION may require proof of identity, confirmation, signature, or acknowledgment upon delivery.

6.7. Failed Delivery

If delivery fails due to incorrect address, unavailable recipient, denied access, unreachable Customer, or other reasons caused by the Customer, ZION may reschedule delivery subject to availability and additional charges.

7. Product Inspection Upon Delivery

7.1. Customer Inspection

Upon delivery, the Customer or authorized representative must inspect the Product, packaging, visible condition, included accessories, and quantity before accepting or signing the delivery acknowledgment.

7.2. Visible Delivery Concerns

Visible delivery concerns such as wrong item, missing accessories, incorrect quantity, or physical damage apparent upon delivery must be reported to ZION within three (3) calendar days from delivery.

7.3. Warranty Concerns

Warranty-related defects, malfunctions, or service concerns may be reported within the applicable warranty period stated in the Product’s warranty coverage, invoice, warranty card, or official ZION Warranty Policy.

8. Returns, Repairs, Replacements, and Refunds

8.1. General Policy

ZION handles return, repair, replacement, and refund requests in accordance with applicable Philippine law, these Terms of Sale, and ZION’s official Warranty Policy.

Nothing in these Terms shall be interpreted as limiting any mandatory rights or remedies available to consumers under applicable Philippine law.

8.2. Valid Concerns

The Customer may contact ZION for assistance if:

  1. the delivered Product is different from the Product ordered;
  2. the Product delivered does not match the confirmed order details;
  3. the delivered Product has missing parts or accessories that should have been included;
  4. the quantity delivered does not match the confirmed Order; or
  5. the Product has a defect, malfunction, or warranty-related concern not caused by misuse, negligence, unauthorized repair, improper handling, or external damage.

8.3. Required Documentation

ZION may require the Customer to provide any of the following:

  1. proof of purchase;
  2. invoice or official receipt;
  3. photos or videos of the Product concern;
  4. delivery acknowledgment;
  5. Product serial number, model, or warranty details;
  6. service report, if applicable; and
  7. other documents reasonably needed to assess the concern.

8.4. Product Condition for Return or Replacement

For returns or replacements, the Product must be returned with all original parts, accessories, manuals, inclusions, packaging, and proof of purchase, unless the missing or damaged condition is part of the valid complaint.

8.5. Repair

For warranty-covered concerns, ZION may first inspect and repair the Product within a reasonable period, subject to parts availability, service schedule, Product type, location, and nature of the concern.

8.6. Replacement

If the Product is confirmed to be defective and cannot be reasonably repaired, ZION may provide a replacement, subject to inspection, warranty coverage, availability of the same or equivalent Product, and applicable law.

8.7. Refund

A refund may be processed if required by applicable law, if replacement is not available, if the Product cannot be repaired within a reasonable period, or if ZION determines that refund is the appropriate remedy.

Refunds shall be processed through the original payment method whenever possible, or through another method agreed upon by ZION and the Customer. Processing timelines may vary depending on banks, payment providers, card issuers, or financing partners.

8.8. Non-Returnable Situations

ZION may decline return, replacement, or refund requests when the Product has no defect or imperfection, the request is due to change of mind, the issue is caused by Customer mishandling, improper use, unauthorized repair, tampering, abuse, accident, normal wear and tear, or circumstances excluded under the applicable Warranty Policy.

9. Product Warranty

9.1. Warranty Coverage

Warranty coverage shall depend on the specific Product purchased and shall be stated in the Product page, warranty card, invoice, official quotation, or ZION Warranty Policy.

9.2. Warranty Service

Warranty service may include technical assessment, repair, replacement of covered parts, or other remedies determined by ZION based on the warranty coverage and applicable law.

9.3. Warranty Exclusions

Unless otherwise stated in the applicable Warranty Policy, warranty coverage does not apply to damage or issues caused by:

  1. misuse, abuse, negligence, or improper handling;
  2. unauthorized repair, alteration, or tampering;
  3. incorrect installation or relocation not performed or authorized by ZION;
  4. exposure to unsuitable conditions beyond the Product’s intended use;
  5. accidents, fire, flood, power surge, pests, or force majeure events;
  6. normal wear and tear;
  7. consumable parts or cosmetic issues that do not affect Product functionality; or
  8. use inconsistent with the Product manual, safety instructions, or intended purpose.

9.4. Service Availability

Service timelines may vary depending on technician availability, Customer location, Product type, parts availability, and the nature of the concern.

10. Ownership and Risk

10.1. Ownership

Ownership of the Product shall transfer to the Customer only after ZION has received full and cleared payment for the Product, unless otherwise agreed in writing.

10.2. Risk of Loss or Damage

Risk of loss or damage transfers to the Customer upon successful delivery and acceptance of the Product by the Customer or authorized representative.

10.3. Customer Responsibility After Delivery

After delivery and acceptance, the Customer is responsible for proper handling, care, maintenance, and use of the Product in accordance with the Product manual, safety instructions, and warranty conditions.

11. Order Cancellation and Contract Termination

11.1. Customer Cancellation Request

The Customer may request cancellation of an Order before delivery or release of the Product. Approval of cancellation requests shall be subject to ZION’s assessment, Product status, payment status, delivery preparation, and other reasonable business considerations.

11.2. Cancellation by ZION

ZION may cancel an Order or terminate the Sales Contract for valid reasons, including but not limited to:

  1. Product unavailability;
  2. pricing, listing, or system error;
  3. payment failure, reversal, or non-payment;
  4. suspected fraud or unauthorized transaction;
  5. Customer breach of these Terms of Sale;
  6. refusal or failure to accept delivery;
  7. delivery location not serviceable; or
  8. other legal, operational, or business reasons.

11.3. Effect of Cancellation

If an Order is validly canceled after payment has been made, ZION shall process the applicable refund, subject to deductions, charges, or conditions allowed by law and applicable payment provider rules.

12. Limitation of Liability

To the extent allowed by law, ZION shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of income, loss of profit, loss of business opportunity, or loss of use arising from or related to the purchase or use of a Product.

ZION’s total liability for claims arising from a Product purchase shall not exceed the actual purchase price paid by the Customer for the specific Product involved, except where a higher liability is required by applicable law.

Nothing in these Terms shall exclude liability that cannot be excluded under Philippine law.

13. Customer Responsibilities

The Customer agrees to:

  1. provide accurate and complete order, payment, and delivery information;
  2. ensure that the delivery location is accessible and ready for Product delivery or installation;
  3. inspect the Product upon delivery;
  4. use the Product only for its intended purpose;
  5. follow all Product manuals, care instructions, safety reminders, and warranty requirements;
  6. keep proof of purchase, invoice, and warranty documents; and
  7. promptly notify ZION of valid concerns within the applicable period.

14. Data Privacy

By placing an Order, the Customer understands that ZION may collect and process personal information necessary to process Orders, confirm payment, arrange delivery, provide warranty service, respond to inquiries, and improve customer support.

Personal information shall be handled in accordance with ZION’s Privacy Policy and applicable data privacy laws. Customers are encouraged to review the Privacy Policy posted on the ZION website.

15. Force Majeure

ZION shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, fire, flood, earthquake, typhoon, epidemic, pandemic, war, government restrictions, transportation delays, labor issues, power interruptions, system outages, supplier delays, courier disruptions, or other similar events.

16. Changes to These Terms

ZION may update, revise, or modify these Terms of Sale from time to time. Updated Terms shall be posted on the ZION website with the latest effective date.

The Terms in effect at the time of Order acceptance shall generally apply to that Order, unless otherwise required by law.

17. Governing Law and Venue

These Terms of Sale shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

In case of dispute, the parties agree to first attempt to resolve the matter in good faith through ZION’s customer support channels.

If legal action becomes necessary, the dispute shall be brought before the proper courts or quasi-judicial bodies with jurisdiction under applicable Philippine law.
